A will says who inherits — a structure decides how it is run
A will deals with assets that are still in your name when you die. It does little to set how a family business is run afterwards, how wealth is shared between generations or what happens if an heir is too young or not ready to take over. A trust under the DIFC or ADGM common-law regime answers those questions: a settlor transfers assets to a trustee, who holds them for the beneficiaries under a trust deed, often with a protector overseeing key decisions.
We map the family, the assets and what you want to happen, then design a structure that may combine a trust with holding companies and, where it fits better, a foundation. Our team works alongside qualified legal counsel on the trust deed and letter of wishes, coordinates the appointment of a suitable trustee, and forms the holding companies beneath it. We then manage the transfers of shares and other assets, keep each entity’s registrations and filings in order, and review the structure as the family changes.

What you gain with Family Trusts & Wealth Structuring
The practical difference when the work is planned and filed properly the first time.
Succession Beyond the Will
Assets held in trust are managed under the trust deed after your death, alongside a will that covers what remains in your own name.
Care for Younger Heirs
Young, inexperienced or vulnerable beneficiaries can benefit over time, with the trustee managing distributions instead of handing over everything at once.
Business Kept Intact
Holding company shares stay together in one structure, so a family business need not be divided between heirs or sold to settle an estate.
The Right Combination
Trust, foundation and holding companies each play a different role; we combine only the layers your family’s assets and goals actually need.
Independent Oversight
A protector can be given powers such as approving distributions or replacing the trustee, adding a check without running the trust day to day.
Legal Work Coordinated
We work alongside qualified legal counsel on the trust deed and related documents, so the legal drafting and the corporate steps fit together.
A clear process, step by step
One adviser owns your file from first call to completion, and you always know which step you are on.
- 01
Family & Asset Map
We record the family members involved, the assets and where they are held, and what you want to happen during your lifetime and after it.
- 02
Structure Design
We propose how a trust, holding companies and, where it suits, a foundation fit together, and who should act as trustee and protector.
- 03
Deed & Letter of Wishes
Qualified legal counsel drafts the trust deed under DIFC or ADGM law, with your letter of wishes guiding the trustee; we coordinate reviews until you are comfortable.
- 04
Establish & Transfer
The trustee is appointed, holding companies are formed or restructured, and shares, accounts and other assets are transferred into the structure in the right order.
- 05
Administer & Review
We keep each entity’s licences, registers and tax filings current and revisit the structure after births, marriages, deaths or a business sale.

Family Trusts & Wealth Structuring questions
Straight answers to what clients ask us most. If yours is not here, ask us directly.
Yes. DIFC and ADGM each have a common-law trust regime, so a trust can be created under the law of either centre, with that centre’s courts available to resolve disputes. Assets held by the trustee can include shares in UAE holding companies, investment portfolios, cash and other property, subject to the rules where each asset is registered. Qualified legal counsel drafts the trust deed; we coordinate the structure around it.
Depending on the regime and the design, the trustee may be a professional trust company or trusted individuals. Acting as a trustee by way of business is a regulated activity in DIFC and ADGM, so a professional trustee must hold the appropriate licence there. The choice affects cost, continuity and how decisions are made. We help you weigh the options and coordinate the appointment with your legal counsel.
No — the two work together. Assets you transfer into the trust during your lifetime are governed by the trust deed, while anything still in your own name passes under your will or, without one, under the rules that would otherwise apply. A UAE-registered will usually sits alongside the trust. We work with your legal counsel so the two are consistent and nothing important is left outside both.
Often more than one. A holding company owns the operating businesses and keeps them together; a trust or a foundation sits above it and sets who benefits and who decides. We set out which layers your family’s assets and goals actually need, what each adds in cost and administration, and how they work together — without adding layers for their own sake.
That is not what we set trusts up for. A trust is about control, continuity and protecting the family’s interests. Each company in the structure still has its own corporate tax registration, returns and records, and transfers into the structure are reviewed for their tax effect before they happen. We keep every entity’s filings in order so the structure stays transparent to the FTA, banks and auditors.
A protector is an optional role, often a trusted adviser or family member, given specific powers in the trust deed — for example consenting to distributions, approving changes to the deed or replacing the trustee. The protector does not manage the assets; that stays with the trustee. Choosing who holds this role, and what powers it carries, is one of the main design decisions we work through with you and your legal counsel.
